Terms of Service

1. Acceptance of Terms

By accessing or using ÆtherLight Lumina ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

Lumina is a voice-to-intelligence development tool that provides:

  • Voice-to-text transcription for developer commands
  • AI-assisted coding and debugging
  • Pattern recognition and knowledge management
  • Sprint management and task tracking
  • Team collaboration features (beta)
  • Distributed mesh networking (beta/planned features)

The Service is currently in beta. Features may change, and some functionality may not work as expected. We appreciate your patience and feedback.

3. Beta Program Terms

3.1 Beta Access

During the beta period (through November 2025), the Service is provided free of charge. Beta users who actively participate by:

  • Using the Service regularly
  • Reporting bugs and issues
  • Providing feedback and suggestions

will receive lifetime Pro tier access (normally $14.99/month) at no cost when the Service launches.

3.2 No Warranty During Beta

The Service is provided "AS IS" during beta. We make no guarantees about uptime, data retention, or feature stability. Use at your own risk.

3.3 Feedback Rights

By providing feedback, suggestions, or bug reports, you grant us a worldwide, royalty-free license to use, modify, and incorporate your feedback into the Service without compensation or attribution.

4. Account Registration

4.1 Account Creation

To use the Service, you must:

  • Be at least 13 years old (or age of consent in your jurisdiction)
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Not share your account with others

4.2 Account Responsibility

You are responsible for all activity under your account. If you suspect unauthorized access, notify us immediately at security@aetherlight.dev

5. Acceptable Use

5.1 Permitted Use

You may use the Service for lawful purposes related to software development, team collaboration, and knowledge management.

5.2 Prohibited Activities

You may NOT:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malware, viruses, or malicious code
  • Attempt to hack, reverse engineer, or compromise the Service
  • Use the Service to harass, abuse, or harm others
  • Scrape, crawl, or automated data collection without permission
  • Resell or redistribute the Service without authorization
  • Use the Service for cryptocurrency mining
  • Impersonate others or create fake accounts
  • Spam or send unsolicited communications

5.3 Enforcement

We reserve the right to suspend or terminate accounts that violate these Terms, without notice or refund.

6. Content and Data

6.1 Your Content

You retain ownership of all content you create using the Service (voice transcriptions, patterns, sprint data, etc.). You grant us a license to store, process, and display your content as necessary to provide the Service.

6.2 Shared Content

If you opt in to share patterns with teammates or the community, you grant those users a license to view and use your shared content.

6.3 Data Deletion

You may delete your account and data at any time via Settings → Account → Delete Account. Some data may be retained for legal compliance (billing records, support tickets).

7. Payment and Subscriptions

7.1 Free Tier

The Free tier is available indefinitely for local-only use. No payment required.

7.2 Paid Tiers (Post-Beta)

After the beta period, paid tiers will be available:

  • Network Tier: $4.99/month
  • Pro Tier: $14.99/month (FREE for beta users)
  • Enterprise Tier: $49/month

7.3 Billing

Subscriptions are billed monthly or annually via Stripe. You authorize us to charge your payment method. Prices may change with 30 days notice.

7.4 Refunds

We offer 14-day refunds for new subscriptions. No refunds for renewals. Contact billing@aetherlight.dev

7.5 Cancellation

You may cancel anytime. Your subscription remains active until the end of the billing period.

8. Intellectual Property

8.1 Our IP

The Service, including software, design, documentation, and branding, is owned by ÆtherLight and protected by copyright, trademark, and other intellectual property laws.

8.2 Open Source

Parts of the Service may be open source (MIT license). See our GitHub repository for details.

8.3 Trademarks

"ÆtherLight," "Lumina," and associated logos are trademarks of ÆtherLight. You may not use them without permission.

9. Third-Party Services

The Service integrates with third-party services:

  • Supabase: Database and authentication
  • OpenAI: Voice transcription (Whisper API)
  • Stripe: Payment processing
  • Claude Code: AI assistance (via MCP)

Your use of these services is subject to their own terms. We are not responsible for third-party service availability or data practices.

10. Disclaimers and Limitations of Liability

10.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ÆTHERLIGHT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims shall not exceed the amount you paid us in the past 12 months (or $100, whichever is greater).

10.3 Backup Responsibility

You are responsible for maintaining backups of your data. We are not liable for data loss.

11. Indemnification

You agree to indemnify and hold harmless ÆtherLight from any claims, damages, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your content or data

12. Termination

We may suspend or terminate your access to the Service:

  • For violation of these Terms
  • For non-payment (paid tiers)
  • If required by law
  • At our discretion, with or without notice

Upon termination, your access will cease, but these Terms survive (liability, indemnification, dispute resolution).

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, contact us at legal@aetherlight.dev to resolve the dispute informally.

13.2 Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the American Arbitration Association (AAA) rules. Arbitration shall be conducted in the United States.

13.3 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action or collective proceeding.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15. Miscellaneous

15.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and ÆtherLight.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 No Waiver

Our failure to enforce any right does not waive that right.

15.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations.

15.5 Force Majeure

We are not liable for delays or failures due to events beyond our control (natural disasters, war, pandemics, etc.).
